Model 231
With a resolution of the Board of Directors dated 09/04/2025, Valsir S.p.A. adopted the Organisation, Management and Control Model, in line with the provisions of Legislative Decree 231/2001. This Model represents a fundamental step towards strengthening the corporate governance system, ensuring greater security, fairness, transparency, risk prevention and compliance with current regulations relating to the commission of offences in the interest or to the advantage of the company.
The Model is a document drawn up by the Company, which sets out guidelines, principles, rules and procedures and identifies control activities in such a way that its principles cannot be violated unless its provisions are fraudulently circumvented.
The Model analyses the activities in which the offences specifically indicated in the decree (predicate offences) may be committed, defines the possible offences relevant to the company's activities, identified among the predicate offences, provides for specific preventive controls, identifies the appropriate company management methods to prevent the commission of each offence, and introduces a disciplinary system to sanction non-compliance with the measures included therein.
The task of supervising the adequacy of the Model, its updating and its effectiveness is entrusted, in accordance with the regulations, to a ‘Supervisory Body’, an independent body appointed for this purpose by the Board of Directors.
In order to enable the Supervisory Body to carry out its activities regularly, the Model also defines the information obligations towards it.
